    Terms & Conditions

    Luke Hayes values and seeks long term, mutually beneficial relationships with clients. To ensure clear understanding we have clear Design Terms and Conditions.

    By engaging any design services from Luke Hayes, the client agrees to the following Design Terms and Conditions:

    Important Definitions

    The Client: The company or individual requesting the services of Luke Hayes.

    Luke Hayes or Luke Hayes Websites: The owner of Luke Hayes Websites, Managers working with or for Luke Hayes, designers and developers working with or for Luke Hayes or employees of Luke Hayes.

    Content: Is text, images, audio files, video, animations that the client requires on their website.

    Design Concept:   Is the Style, layout and colour scheme for the Design Project.

    Standard HTML Web Page:  Is a web page designed using HTML.
    – It can include hyperlinks to other web pages.
    – It is plain text and static images supplied by the client.
    – It has up to 400 words and up to 3 images per page.
    – It is not a comprehensive sales or landing page.
    – It is not a brochure.
    – It does not include graphically designed or fancy content.

    Website:  means the website developed by Luke Hayes Websites for the Client.

    Hosting:  means the provision of web server space and infrastructure required to make the Website accessible on the internet. Hosting does not include ongoing web updates, plugin updates, maintenance, security guarantees, security monitoring, or content changes unless explicitly stated.

    Monthly Maintenance:  means an optional paid service that includes periodic updates to website software (such as plugins and themes) and basic security measures. This service reduces risk but does not guarantee the prevention of hacking, data loss, or website downtime.

    Web Design Extras (not included in a quote)

    There are many special technologies, features and extra services that Luke Hayes can provide to help The Client achieve their business goals.  These extra services are not part of our standard web design quote and service.

    Following is a list of Optional Extra services that can be provided, they are not included as part of a normal website project unless specifically stated in writing in The Client quote:

    • sourcing and/or buying images
    • Instagram Plugin
    • Facebook Plugin
    • Facebook page setup and/or design
    • email subscribe capture system
    • developing scripts and programs
    • landing page design
    • lead magnet (with auto follow up emails)
    • email marketing and newsletters

    • graphically designed banner images for individual web pages
    • graphically designed advertisement for individual web pages

    • design temporary landing page while main site is being created
    • graphically designing the layout of web page content

    Service Scope Clarification

    Unless explicitly stated in writing, services provided by Luke Hayes Websites are limited to the scope outlined in the original quote or agreement.

    Hosting services do not include ongoing updates, security monitoring, or website management. These services are only provided under a separate Monthly Maintenance agreement.

    We Do Not Provide IT or Security Services

    Luke Hayes Websites does not provide general IT services, email services, configuring clients computers or phones, cyber-security services, or ongoing website security management.

    Luke hayes provides a Monthly Maintenance service to clients who have elected to engage and pay for this service. This service includes periodic updates to website software (including plugins and themes) and the implementation of basic security measures.

    Without an active Monthly Maintenance service, the Client is solely responsible for ensuring their Website software, plugins, themes, and integrations are kept up to date and secure.

    Maintenance & Updates Responsibility

    The Client acknowledges that websites require ongoing updates to remain secure and functional.

    If the Client does not purchase an active Monthly Maintenance service from Luke Hayes Websites, the Client accepts full responsibility for maintaining, updating, and securing their Website.

    Luke Hayes Websites will not be held responsible for any issues, including hacking, malware, or website failure, resulting from outdated or unmaintained software.

    Website Security Disclaimer

    The Client acknowledges that no website can be made completely secure.

    Luke Hayes Websites does not guarantee that the Website will be free from vulnerabilities, hacking attempts, or malicious activity.

    Security risks are inherent to all websites, particularly those using third-party software such as WordPress, plugins, and themes.

    Third-Party Software & Integrations

    Websites developed by Luke Hayes Websites may rely on third-party software, including WordPress core, plugins, themes, and external services.

    Luke Hayes Websites is not responsible for the performance, security, updates, or failures of any third-party software.

    The Client acknowledges that issues arising from third-party components are outside the control of Luke Hayes Websites.

    Our Web Design Process

    Our design process is simple and effective.

    We design a website in 5 stages:
    Stage 1: DISCOVERY – Research and Planning
    Stage 2: WEB DESIGN & DEVELOPMENT
    Stage 3: WEBSITE APPROVED & GO LIVE
    Stage 4: HAND-OVER PROCESS
    Stage 5: WARRANTY (3 months) – Any errors are fixed

    Luke Hayes is available for a fee to provide ongoing support, but the client is 100% responsible for their own website.

    Indemnity and Limitation of Liability

    The Client agrees to indemnify, defend, and hold harmless Luke Hayes Websites, its owner, contractors, and affiliates from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

    • The Client’s failure to maintain, update, or properly manage their Website
    • The use of outdated, unsupported, or insecure website software, plugins, themes, or systems
    • Any content, data, images, text, or materials supplied, uploaded, or published on the website that is approved by the Client to go live
    • Any breach of third-party rights, including but not limited to copyright, intellectual property, or privacy rights
    • Any third-party claims, disputes, or allegations arising from the Website or its use
    • Any security incidents including, but not limited to, hacking, malware infection, unauthorised access, data breach, or website corruption
    • Website downtime, malfunction, loss of data, or complete website failure or disappearance, regardless of cause.
    Acceptance of Terms and Conditions

    The services and products, which are offered to the Client by Luke Hayes, are subject to these Terms & Conditions.

      1. NSW Law
        1. The Client agrees that these Terms of Use are governed by the law in force in the State of New South Wales, Australia, and the parties irrevocably submit to the non-exclusive jurisdiction of the courts of New South Wales and courts of appeal from them for determining any dispute concerning the Terms of Use.
      2. Limitation of Liability
        1. The Client agrees that Luke Hayes shall have no liability to you or any other person with respect to any loss of service, content, business, indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profit/goodwill for any matter whether such liability is asserted on the basis of contract, tort, breach of warranties either expressed or implied.
        2. The Client agrees to indemnify, defend and hold Luke Hayes harmless from and against any and all third party claims, liabilities, damages, losses or expenses (including reasonable attorney’s fees and costs) arising out of, based on or in connection with The Clients access and/or use of this website.
      3. Copyright Ownership
        1. Upon final payment for any agreed design work, The Client will own the copyright on the Clients website visual design and all other designs we complete for the Client as part of this quote. Medical Web Design and Luke Hayes not seek to own any part of the clients design. The software (platform) used to develop the website is not owned by you (the client) and it is not owned by Luke Hayes.
        2. The Client will own the copyright on the client’s website (visual design and content) and this will be stated clearly at the very bottom of your website in small font along with the acknowledgment that the client’s website was design by Luke Hayes.
      4. Intellectual Property
        1. All creation (source) files remain the property of Luke Hayes.
        2. Luke Hayes retains the right to use all artwork created in advancing the profile of Luke Hayes and to be recognized for artwork created by Luke Hayes.
        3. Luke Hayes observes Privacy Laws and Guidelines relating to personal data.
      5. Copyright Responsibility
        1. The Client agrees that Luke Hayes takes no responsibility for the clients legal interests.
        2. Therefore The Client takes full responsibility for ensuring that all of the content (text, information, logo’s, videos, music and images) comply with copyright law and the The Client has permission to publish the content on The Client’s website.
      6. Quote
        1. All quotes provided by Luke Hayes are valid for 30 days from the original date of issue.
        2. The quote supplied to the client by Luke Hayes and the Luke Hayes Web Design Service Terms and Conditions is the contract between “Luke Hayes” and “The Client”.
        3. Any ideas or plans expressed verbally or in writing by the client are not automatically part of the quote. The only services that are a part of the project, will be those services and features that are detailed in the quote that Luke Hayes has emailed to the client and the client has approved by email or by paying a deposit.
        4. The Luke Hayes team will fulfil the contract as it is specifically specified and agreed to in the contract. Often clients will request extra services that were not part of the original agreed quote. The Luke Hayes team can provide extra services, but any extra work will be an extra service fee.
      7. Variations to original quote
        1. In the event of any variations, extras or extensions to the original quote, all work will be undertaken in accordance with our hourly rates, unless a new quote is provided that specifically includes the extra tasks.
      8. Deposit
        1. A deposit or any other payments made by the Client are non-refundable.
        2. A deposit payment is made by the client confirming that they want the Luke Hayes team to get started.  The payment of the deposit is the Client’s commitment that the project is going ahead and the Client will be seeing this project through to completion.
        3. The deposit is essential to cover the investment of time, effort and expertise of the Luke Hayes team, also for correspondence by email and/or phone, planning, research, administration, book-keeping, setup and design and development work.
      9. Maintaining Contact
        1. The client is responsible for supplying Luke Hayes with accurate and up to date contact details (email, work and mobile numbers). If the client has any change of contact details the client must contact Luke Hayes to update their details.
        2. If the client has not received contact from Luke Hayes within 5 Business days, the client is responsible for making contact with Luke Hayes.
      10. Non-Payment and Suspension 
        1. The Client agrees to pay for all agreed design and marketing work that Luke Hayes does for the clients business. Please note that the clients account becomes delinquent (falls into arrears, un-paid invoices by due date), then Luke Hayes may, at his sole discretion, suspend access to the clients websites administration interface and the clients website can be removed from view on the Internet. As soon as the delinquent invoices are paid in full the clients website and Administration access will be re-enabled.
        2. The Client is liable to pay overdue interest at 5 % /per fortnight (14 days) on any amounts not paid within 14 days of invoice. All intellectual property rights remain with Luke Hayes until payment.
      11. Termination
        1. Luke Hayes may discontinue services if an amount payable to Luke Hayes is overdue or take down a website permanently in any case where an amount payable is overdue by more than 14 days. In any such event, you remain liable for the total cost of the contract including all disbursements; unless otherwise agreed between the parties.
        2. If the client requests to terminate the contract after a project has commenced (deposit has been paid), Luke Hayes will retain the deposit and the client will be liable to pay for all work done up to the point of termination.
        3. Luke Hayes reserves the right to terminate services at any point in the Web Design process. Any payments made by the client at the time of termination are non-refundable, and are used by Luke Hayes to cover the cost of planning, administration, book-keeping and design work up to that point.
      12. Monthly Maintenance Care Plan (optional ongoing care plan)
        1. The Monthly Maintenance Care Plan is an optional service designed to help keep your website software up to date and operating smoothly.
        2. This service includes periodic updates to core website software, including plugins and themes, as well as the implementation of basic security measures.
        3. While these updates and safeguards significantly reduce risk, they do not guarantee protection against hacking, data breaches, malware, data loss, or website downtime.

        4. Website security is an ongoing responsibility, and failure to keep software updated is one of the most common causes of security vulnerabilities and website compromises.

      13. Web Hosting (WordPress)
        1. Every website has to be hosted.
        2. If the client’s WordPress website is hosted with Luke Hayes, then it is on FlyWheel Servers. This hosting includes a 99.9% up-time guarantee and a free SSL
        3. Hosting is billed monthly unless otherwise arranged.
        4. If a hosting account is not paid on time and remains unpaid after 30 days from the due date, Luke Hayes reserves the right to suspend and disable the hosting account until the outstanding fees are paid up-to-date.
        5. After 90 days of non-payment, the website and associated files may be permanently deleted without further notice. All hosting accounts include automated backups retained for up to 30 days only. Backups are provided for disaster recovery purposes only and are not guaranteed to be available, complete, or suitable for restoration at any time. Luke Hayes Websites does not guarantee the recovery or restoration of any website, data, or content after deletion or expiry of the backup retention period. Any restoration, rebuild, or recovery work (including from backups where available) is a separate, chargeable service unless otherwise agreed in writing.
        6. Web hosting can be cancelled at any time. 30 days notice must be given in writing. To do so, all invoices to Luke Hayes must be paid up to date.
        7. If The Client requests to move the website hosting from FlyWheel servers, Luke Hayes will run a full back up and provide that file to the client. Luke Hayes does not take any responsibility for the website setup on a different server. Luke Hayes charges a fee of $150 +gst to run the backup and provide the entire site files to The Client.
        8. No Guarantee of Continuous Availability… Luke Hayes Websites does not guarantee uninterrupted or error-free operation of any Website or hosting service.  Temporary downtime may occur due to factors beyond control, including server issues, updates, or security incidents.
      14. Ongoing Support and Updates:
        1. After a website has gone live, all support, updates, and maintenance work is chargeable unless the Client has an active Monthly Maintenance agreement with Luke Hayes Websites. The Client is responsible for the ongoing management, updates, security, and performance of their Website unless otherwise agreed in writing.
        2. Luke Hayes does not provide ongoing support and updates for free.
        3. Luke Hayes has a minimum of 10 minutes charge for any updates or support. In some cases Luke Hayes may choose to charge less.
      15. Website Backup:
        1. All hosting services include automated backups, each backup is retained for up to 30 days only.

          Luke Hayes Websites does not guarantee the availability, completeness, or suitability of backups. If a website issue, hack, or data loss is not identified within this 30-day period, then the backup expires and restoration of the site may not be possible.

          Any restoration work required from backups may incur additional fees unless otherwise agreed in writing.

          The Client is responsible for ensuring they maintain their own backup systems if longer than 30 day retention is required.

      16. Hacker Disclaimer:
        1. While reasonable care is taken during the design, development, and (where applicable) ongoing maintenance of websites, no website can be guaranteed to be completely secure or entirely protected from hacking, malware, or unauthorised access.
        2. Websites that do not have the software, software plugins, website theme and security updated regularly are at a significantly higher risk of security vulnerabilities, including hacking, malware infection, and data loss. Luke Hayes Websites accepts no responsibility or liability for any issues, damages, losses, or security breaches arising from outdated software, systems, or plugins where the Client has not engaged the optional Monthly Maintenance Service.
        3. Where a website is compromised, hacked, or otherwise affected by malicious activity, including but not limited to unauthorised code changes, content injection, malware installation, or data corruption, Luke Hayes Websites is not responsible or liable for any resulting loss, damage, downtime, or recovery costs. The Client remains solely responsible for the security, performance, and ongoing maintenance of their website unless a maintenance agreement is in place.
        4. If the Client has not engaged the Monthly Maintenance Care Plan, the website software, including themes, plugins, and core systems, may become outdated over time, significantly increasing the risk of security vulnerabilities and exploitation.
      17. Website Security Responsibility
        1. The Client is responsible for ensuring their Website remains updated, secure, and maintained unless they have engaged an active Monthly Maintenance service with Luke Hayes Websites.
        2. Luke Hayes Websites does not accept responsibility for any security breaches, malware infections, or hacking incidents that occur due to outdated software, plugins, themes, or third-party integrations.
        3. While security measures may be implemented during development or maintenance, no system can be guaranteed to be completely secure.
      18. Time Frame:
        1. Luke Hayes is committed to completing the clients design project within the agreed time frame. This is important for the clients business and part of our dedication to helping clients succeed.
        2. The Client agrees to a set of milestones and the completion date (deadline), which will be set out and agreed to in the quote. This gives both parties a clear understanding of the target and requirements.
        3. The Client is responsible for replying to emails and phone calls within 48 hours during Monday to Friday (excluding public holidays)
        4. The client agrees to provide Luke Hayes all materials required to complete the site (files, content and images) in a timely fashion.
        5. The client agrees to work consistently with Luke Hayes on the HOME page design and agrees to completing and approving the HOME page within 6 weeks from the day the HOME page is started.
          If the client does not do their part to complete the HOME page within 6 weeks, a penalty of $199 +gst is added to the clients project budget for PAUSING PROJECT DURING HOME PAGE DESIGN to cover the extra time and expense required by Luke Hayes.
        6. Luke Hayes will not be liable for costs incurred, compensation or loss of earnings due to the failure by the client or Luke Hayes to meet agreed deadlines.
      19. Extensions to agreed time-frames
        1. Based on the quote and time-frame that the client and Luke Hayes have agreed to, Luke Hayes will allocate resources required to complete the Design Project successfully and on time. If the Design Project exceeds the agreed deadlines by 14 working days, (due to the Client missing milestones/deadlines for the supply of feedback on designs, and providing required information, content, video or images) Luke Hayes reserves the right to charge a project-delay fee to recover costs associated with ongoing management of the project.
      20. Putting web design project on hold
        1. The client can put their website design project on hold at anytime. The client must request the project to be put on hold in writing or in an email message. Restarting the Project after being put on hold will incur a $100 +gst re-activation fee.
        2. If the client is unable to work with the Luke Hayes team on the their web design project for longer than 21 Days, the project will be automatically put on hold.
        3. Restarting the Project after being put on hold will incur a $100 +gst re-activation fee. This is automatically added to the client’s web design budget. This re-activation fee covers the extra work imposed on the Luke Hayes team as they have to stop, start, re-engage and re-learn the details of your website project status and the specific details and project inclusions, plus chasing and/or following up with the client. Wherever possible it is important to keep the web design project momentum moving forward, in order to successfully deliver the website on time and on budget. The client needs to provide prompt feedback on designs and concepts, provide the required information, domain name access, payments and website content as required during the web design process.
      21. Web design contract expires after 12 months
        1. Once a website development project starts, it usually takes between 4 to 12 weeks to complete.
        2. If The Client is not responsive to requests for content, instructions or requests for approval, or if The Client takes breaks from working on the project, then the website development project will stall.
        3. If a website is not completed within 12 months (starting from the date that the deposit was paid), then the original service contract is terminated. A deposit or any other payments made by the client are non-refundable.
      22. Content for Design Work
        1. All content for all sections of the website must be supplied by an agreed time. The content supplied must be complete and any new edits to the supplied content will require extra work incurring an extra charge.
        2. You agree that Luke Hayes assumes no responsibility for accuracy or correctness of content on the clients website. The Client should not assume that the Materials on the client website are continuously updated for you or otherwise contain current information. Luke Hayes is not responsible for any spelling and grammatical errors.
        3. Content must follow the directions of the sitemap. If the sitemap indicates five pages, the Client must supply the content for all five pages.
        4. Luke Hayes makes no representations concerning the content or functionality of the clients Website. It is the client’s responsibility to ensure that their website meets their requirements.
        5. The client is to provide content for their website in the following format:
          – text in a Microsoft Word document
          – images as .jpg or .png
          Unless specifically agreed by Luke Hayes..
        6. You agree and acknowledge that Luke Hayes has no obligation to retain Customer content (content and/or files). All files sent to Luke Hayes may be irretrievably deleted, so you agree to keep a copy of all content for the clients website.
        7. A single web page is quoted based on it being about one thing (one heading). If the client wishes to include more than one heading on a single, long web page, this will be an extra charge. Each heading is quoted as a separate page even if it is physically located on the same HTML web page as another Heading.
      23. Website Development
        1. To the maximum extent permitted by law, Luke Hayes Websites excludes all liability for any loss, damage, cost, or expense (including but not limited to loss of revenue, data, or business interruption) arising from:

          • Website downtime
          • Security breaches or hacking
          • Data loss
          • Third-party software failures
          • Failure of backups

          Where liability cannot be excluded under the Australian Consumer Law, liability is limited, at the option of Luke Hayes Websites, to the re-supply of the relevant service or the cost of having the service supplied again.

        2. Luke Hayes cannot take responsibility for any losses incurred by the use of any website, software, marketing materials created for the client.
        3. The client is responsible for reviewing and testing the Website prior to launch and approval. Once the Website has been approved and made live, the Client assumes full responsibility for ongoing operation, performance, maintenance, and security of the Website unless a separate Monthly Maintenance agreement is in place.
        4. Luke Hayes Websites takes care to help ensure the website is correct, bug free and accurate, the ultimate responsibility lies with the client in ensuring that all aspects of the website and all software plugins and security are functioning correctly.  The client is fully responsible for their website.
        5. Any scripts, cgi applications, php scripts or software written by Luke Hayes remain the property of Luke Hayes and may only be commercially reproduced or resold with the permission of Luke Hayes.
        6. Where applications or sites are developed on servers not recommended by Luke Hayes, the client is expected to provide information, software and support relating to the server to assist with the correct development of the application. Any assistance or work required from Luke Hayes for external hosting will incur additional charges.
        7. Where a large application is to be developed, the client is responsible for providing a testing environment as similar as possible to the final production environment.
      24. Cross Browser Compatibility
        1. Luke Hayes always endeavour to ensure that websites we create are compatible with all current modern web browsers such as the most recent versions of Internet Explorer, Firefox, Google Chrome and Safari.
        2. Luke Hayes creates modern websites which often include rich, modern features or functions that old web browsers cannot handle.
        3. Where appropriate Luke Hayes will implement other solutions, on a best effort basis, where any incompatibilities are found. But Internet users are responsible for the software on their own computers, including keeping their Internet browser up-to-date and this can not be controlled by a website.
        4. It is also common that modern browsers display the same web pages, slightly differently. This is determined by the web browser software and not by the website.
      25. Supplying Content
        1. The Client is responsible for supplying the content for each of the web pages.
        2. If the client does not provide all of their content within 6 months of the project start date (the first payment), then the website will be completed without the client’s content on each web page. The completion of a website is not contingent on having content on each web page.
      26. Website on Mobile Devices and Mobile Phones
        1. Luke Hayes cannot guarantee a website will display perfectly on Smart Phones and Tablets. Websites are designed to display on a desktop computer. Tablets and Smart Phones are different platforms.
      27. Completion of Website
        1. When The client has approved the website and paid the final invoice, Luke Hayes will provide the client with administration Log-In details for their website. Luke Hayes is not responsible for remembering the clients log-in details for the client website. If the client has not got their logins, the client is responsible for contacting Luke Hayes and requesting admin login access.
        2. From the point of website approval and the website going live of the Internet, responsibility for the Website transfers entirely to the Client. Luke Hayes Websites is not responsible for ongoing management, performance, security, maintenance, or any loss or damage arising after this transfer, except where required under Australian Consumer Law.
        3. After the completion of the clients website, Luke Hayes is can provide edits, updates and support for a fee. Luke Hayes does not provide ongoings updates and support for free.
        4. After the completion of the clients website, Luke Hayes is not responsible for functionality issues that may arise from changes on third party systems like YouTube, Facebook, PayPal or Adobe Business Catalyst. Third party systems can be updated or changed at any time and Luke Hayes has no control over these external websites or systems.
      28. Website Responsibility Transfer
          1. Upon website launch and final approval by the Client, full responsibility for the Website transfers to the Client.

        This includes (but is not limited to):

              • Website performance
              • Website security
              • Software and plugin updates
              • Content management
              • Hosting management (where applicable)

        Email Accounts

        1. Email accounts are not included with the Website.
        2. If The Client requires Luke Hayes to set up Email accounts, that is a seperate service and will have to be quoted by Luke Hayes, although this is not a service we tend to provide and we recommend clients hire a IT professional.
        3. Luke Hayes is not responsible for configuring the email account on the client’s computer, mobile phone or any other electronic device.

      These Terms & Conditions may be updated at any time by Luke Hayes without notice to you other than by an amended Terms & Conditions contained upon this website. It is The Clients responsibility to ensure that they have checked for any amendments to these Terms & Conditions.
